3.1 Subscription Plans

The Service is available under multiple subscription plans, including a Free plan and paid plans with additional features and higher usage limits. Current plan details, features, and pricing are described on our pricing page. We reserve the right to modify, add, or remove plans at any time.

3.2 Fees and Billing

Paid subscriptions are billed in advance on a recurring monthly basis. All fees are stated and charged in U.S. dollars. You are responsible for any applicable sales taxes, use taxes, duties, or similar governmental charges imposed in connection with your subscription. You must ensure that your payment method on file remains valid and sufficient for all charges due.

3.3 Payment Processing

Payments are processed by our third-party payment processor, Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's applicable terms of service in addition to these Terms. We do not store your full payment card details on our servers.

3.4 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for each renewal period at the then-current subscription rate.

3.5 Free Trials and Promotions

We may from time to time offer free trials or promotional pricing at our discretion. Unless you cancel before a free trial ends, your subscription will automatically convert to a paid plan and you will be charged at the applicable rate. Trial eligibility is limited to one trial per user.

3.6 Price Changes

We will not change the fees for your subscription during your current billing period. We may modify subscription fees upon at least 30 days' prior written notice via email or in-app notification. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new fees. If you do not agree to the new fees, you may cancel your subscription before the next billing period.

3.7 Refund Policy

All fees are non-refundable except as required by applicable law. You are not entitled to refunds or credits for partial billing periods. If we terminate your account for reasons other than a violation of these Terms, we will provide a pro-rata refund for any prepaid, unused portion of your subscription.

3.8 Group and Volume Arrangements

We may offer discounted subscription pricing to groups of practitioners who enroll together under a group arrangement. Group arrangements are subject to the following conditions:

• Discounted pricing is contingent on maintaining the minimum number of active, paid seats agreed upon at the time the arrangement is established.
• If the number of active seats falls below the agreed minimum, we reserve the right to adjust the remaining seats to standard individual pricing.
• Group arrangements may be managed separately from individual subscriptions and may have different billing contacts, invoicing, or payment terms as agreed in writing.
• The specific terms of each group arrangement, including the number of seats, discount, and duration, will be confirmed in writing between Evolve Labs and the group representative.
• All other provisions of these Terms apply to each individual account within a group arrangement.

4.1 Registration

To use the Service, you may need to create an account by providing certain information. You agree that all information you provide is accurate, complete, and current at all times.

4.2 Eligibility

The Service is intended for users who are at least 18 years of age. If you are under 18 years of age, you may only use the Service with the involvement and consent of a parent or guardian, or as authorized by your healthcare provider or practitioner. By using the Service, you represent and warrant that you meet these eligibility requirements.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

5.1 Permitted Uses

You may use the Service solely for your personal, non-commercial therapeutic purposes or, in the case of practitioners, for providing therapy services to your clients.

5.2 Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of Evolve Labs or any third party
• Upload, transmit, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity
• Upload the same session multiple times or otherwise attempt to misuse system resources
• Engage in any activity that interferes with or disrupts the Service
• Attempt to gain unauthorized access to the Service or related systems
• Use data or content obtained through the Service to train machine learning models or AI systems
• Redistribute, sell, or commercially exploit any content, analysis, or reports generated by the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to bypass any measure we may use to prevent or restrict access to the Service

6.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices.

6.2 Session Donation Program

You may opt to donate your sessions to Evolve Labs for research and development purposes. If you choose to participate in this program, you authorize us to access your full transcripts to understand user feedback and improve our technology and AI models. You may opt in or out of this program at any time through your account settings.

6.3 HIPAA Compliance

For practitioners subject to HIPAA requirements, we offer a Business Associate Agreement (BAA) that can be accessed at https://app.partscompanion.org/onboarding/practitioner/baa. Practitioners are responsible for ensuring they have obtained appropriate consent from their clients before using the Service.

7.1 Ownership of Service

The Service, including all of its components, features, and functionality, is owned by Evolve Labs and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service.

7.2 Ownership of Content

You retain ownership of the content you upload to the Service, including recordings and transcripts. However, by using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, process, adapt, and publish your content solely for the purpose of providing and improving the Service.

7.3 Analysis and Reports

The analysis and reports generated by the Service are provided for informational purposes only. While we employ sophisticated AI technology to create these reports, you acknowledge that they are derivative works based on your content and our proprietary analytical methods. You may use these reports for personal or professional purposes but may not claim ownership of our analytical methods or technology.

8.1 Termination by You

You may terminate your account at any time through the account settings page. If you have a paid subscription, you may cancel it at any time through your account settings. Cancellation of a paid subscription takes effect at the end of your current billing period, and you will retain access to paid features until then. Upon cancellation of a paid subscription, your account will revert to the Free plan. If you wish to delete your account entirely, all of your content will be deleted from our system, except as may be required by law or as necessary to protect our legal interests.

8.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time for any reason, including but not limited to a violation of these Terms or failure to pay fees when due. Upon termination, your right to use the Service will immediately cease.

8.3 Effect of Termination

Upon termination of your account, your content will be retained for 60 days to allow you to export your data. After 60 days, we will delete your content, except as may be required by law or as necessary to protect our legal interests. If you cancel a paid subscription without deleting your account, your content remains accessible under the Free plan, but features exclusive to paid plans will no longer be available.

8.4 Unpaid Fees

Upon termination or expiration of your account, you will not receive any refund of amounts previously paid and you will remain liable for any charges incurred or unpaid fees owed to Evolve Labs.

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 No Therapeutic or Medical Advice

Parts Companion is not a healthcare provider or a substitute for professional therapy or medical advice. The analysis and reports generated by the Service are intended to supplement, not replace, the relationship between you and your healthcare provider.

9.3 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. You understand that we may experience delays, interruptions, and limitations due to maintenance, upgrades, or factors beyond our control. You will not be entitled to any refunds or compensation for any interruption or suspension of the Service.

9.4 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVOLVE LABS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SERVICE, WITH THE DELAY OR INABILITY TO USE THE SERVICE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SERVICE, OR OTHERWISE ARISING OUT OF THE USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF EVOLVE LABS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO EVOLVE LABS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
